1. Acceptance of Terms

By accessing or using our website and mobile application (the “Services”), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, you may not use the Services.

2. Eligibility
  • The Services are intended for use by employees, HR administrators, and coaches of organizations that have subscribed to The Fit Corp.
  • Users must be at least 16 years old. The Services are not directed at children under 16.
3. Accounts and Security
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must immediately notify us of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms. 
4. Use of Services

You agree to use the Services only for lawful purposes and in accordance with your employer’s policies. You must not:

  • Upload or share false, misleading, or inappropriate content.
  • Attempt to reverse engineer, hack, or disrupt the Services.
  • Misrepresent activity data (e.g., cheating in challenges).
  • Share another person’s personal information without consent.
5. Data and Privacy
  • Our collection and use of personal data is governed by our Privacy Policy.
  • Employers may receive individual and aggregated activity reports.
  • Users may choose to participate in leaderboards and social features; opting out is available.
6. Intellectual Property
  • All software, trademarks, content, and features of the Services are owned by TFC LLC or its licensors.
  • You may not copy, distribute, or create derivative works without prior written consent. 
7. Third-Party Services and Integrations
  • The Services may integrate with third-party platforms such as Apple Health, Google Fit, and analytics providers.
  • Your use of such integrations is subject to the third party’s terms and policies.
8. Rewards and Challenges
  • Challenges and rewards are provided as part of wellness initiatives, not as financial incentives or employment benefits.
  • We are not responsible for any tax obligations associated with rewards.
  • Fraudulent activity (e.g., falsifying steps) may result in disqualification from rewards and suspension of your account.
9. Service Availability
  • We strive to keep the Services available but do not guarantee uninterrupted or error-free operation.
  • We may modify, suspend, or discontinue features at any time with reasonable notice.
10. Disclaimers
  • The Services are provided for general wellness only and do not constitute medical advice.
  • Always consult a healthcare professional before beginning a fitness program.
  • We make no warranties, express or implied, regarding accuracy, fitness for a particular purpose, or non-infringement.
11. Limitation of Liability
  • To the fullest extent permitted by law, TFC LLC shall not be liable for indirect, incidental, or consequential damages arising from use of the Services.
  • Our total liability shall not exceed the amount paid by your employer for your use of the Services in the preceding 12 months.
12. Indemnification

You agree to indemnify and hold harmless TFC LLC, its affiliates, and employees against any claims or damages arising from your misuse of the Services or violation of these Terms.

13. Termination
  • We may suspend or terminate access if you breach these Terms.
  • Employers may request termination of user accounts upon offboarding.
  • Upon termination, your right to use the Services will immediately end.
14. Governing Law and Jurisdiction
  • These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles.
  • Any disputes shall be resolved exclusively in the state or federal courts located in Norfolk, Virginia. 
15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice with 30 days’ notice. Continued use of the Services after such changes constitutes acceptance.
